Terms and Conditions

1. The Competition & Eligibility

1.1 These terms and conditions relate to the competition run by Dentex Healthcare Group Limited (“Dentex”) for dental practices in the UK to win a marketing support package provided by Dentex (the “Competition”).

1.2 The Competition will run from 07:00 on [13 May 2022] to [23:59] on [31 August 2022]. Competition entries must be received before the closing time in order to be considered.

1.3 To enter the Competition, simply nominate the dental practice you work at using this form [link to form] and provide the details requested. By nominating, you warrant that you have authority from the practice principal to enter the Competition.

1.4 The Competition is only open to independently owned dental practices in the UK (i.e. not dental practices that are part of a corporate dental group). The individual submitting the nomination must be aged 18 years or over. There is a limit of one nomination per dental practice.

1.5 By submitting a Competition entry, you are agreeing (both individually and on behalf of the dental practice nominated) to be bound by these terms and conditions.

2. The Competition Prize & Winners

2.1 The marketing support package prize, as further detailed in clause 2.2 below, will be awarded to one dental practice. The Competition entries will be judged by a panel of judges (nominated by Dentex) based on the reasoning provided in the nomination. The decision of the panel of judges (acting reasonably) will be final.

2.2 The prize consists of a Dentex marketing support package, valued up to £4,450, which includes:

(a) A full audit of your practice’s online presence; looking at the practice’s website performance and analytics, as well as social media and Google My Business channels.

(b) 6 rebranded social media assets;

(c) Website UX and technical on- and off-page SEO review and recommendations;

(d) Logo refresh;

(e) £2,000 monetary contribution towards advertising of your choice to be arranged, negotiated and book by the winning practice. Payment will be made by Dentex directly to the publication. Support from one of Dentex’s preferred agencies towards your choice of online, Facebook or print advertising (valued up to £2,000); and

(f) One working day with our Clinical Director, Rahul Doshi, onsite to explore how you could grow your treatment mix]

(the “Competition Prize”).

2.3 The Competition Prize is non-exchangeable, non-transferable, and is not redeemable for cash or other prizes.

2.4 The Competition winner will be announced on 14 September 2022 (“Announcement Date”). Dentex will contact the winner as soon as practicable after the Announcement Date using the contact details provided in the nomination form. Dentex will publicly announce the name of the dental practice that has won the Competition on its online and social media platforms.

2.5 Dentex reserves the right to hold void, suspend, cancel, or amend the Competition Prize where it becomes necessary to do so.

Conditions Applicable to the Winning Dental Practice

3. Provision of the Marketing Support Package

3.1 Following the Announcement Date, Dentex will use reasonable endeavours to cooperate with the winning dental practice (the “Practice”) to determine suitable dates and a timeline for implementation and delivery of the Competition Prize (“Delivery”). Dentex shall use reasonable endeavours to meet such dates and timelines, however this shall be subject always to the availability of the relevant Dentex personnel and subcontractors. Dentex shall be entitled to substitute any personnel and subcontractors for the Delivery at its sole discretion.

3.2 Delivery of the Competition Prize must be within six (6) months of the Announcement Date (unless otherwise agreed) (“Delivery Period”), after which Dentex is under no obligation to deliver the Competition Prize. Dentex shall not be responsible for any ongoing support and / or maintenance at any time after the Delivery Period.

3.3 The Practice acknowledges and agrees that Dentex may use third-party subcontractors (“Subcontractors”) for Delivery (whom Dentex shall be responsible for). Dentex shall notify the Practice of any Subcontractors and shall ensure they comply with the same or equivalent obligations of confidentiality as set out in these terms and conditions.

3.4 The Practice shall provide to Dentex, its agents and Subcontractors, in a timely manner, access to the Practice’s website, Google Analytics, Google AdWords, social media channels, Google My Business, Google Search Console and Google Tag manager (as applicable) and any other documents, information, items and materials reasonably required for Delivery.

3.5 For the avoidance of doubt, any recommendations provided by Dentex to the Practice are to be implemented at the Practice’s sole discretion and the Practice shall have no remedies in respect of any statement, representation, assurance or warranty provided by Dentex. Dentex shall not provide any legal and / or financial advice to the Practice.

4. Confidentiality & Data Protection

4.1 Dentex and the Practice each undertake that they shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other, except as permitted by clause 4.2.

4.2 Dentex may disclose the Practice’s confidential information to its employees, representatives or Subcontractors who need to know such information for the purposes of Delivery of the Competition Prize. Dentex and the Practice may disclose any confidential information as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.

4.3 Both Dentex and the Practice will comply with all applicable requirements of the UK GDPR. In the event that Dentex has access to any Practice personal data, the Practice shall ensure that it has all necessary and appropriate consents and notices in place to enable lawful transfer of the Practice personal data to Dentex. Dentex shall act as data processor and shall process any such personal data only on the documented instructions of the Practice and always in accordance with UK GDPR. Dentex shall implement the technical and organisational measures necessary to protect against unauthorised or unlawful processing of the personal data and against accidental loss or destruction of, or damage to the personal data. Notwithstanding the obligations set out in this clause 4.3, Dentex shall not be liable for any loss of personal data.

5. Intellectual Property Rights

5.1 “Intellectual Property” means any and all rights in and to all inventions, patents, utility models, know-how, designs (both registered or unregistered), database rights, copyright and trade marks (both registered and unregistered), business and domain names, together with all rights to the grant of and applications for the same and including all similar or analogous rights and all other rights in the nature of intellectual and industrial property throughout the world and all future rights of such nature.

5.2 Dentex and the Practice shall each retain any Intellectual Property which pre-dates the Competition, or was developed independently of the Competition / Competition Prize.

5.3 The Practice grants Dentex a non-exclusive, non-transferable, royalty-free licence to use the Intellectual Property in any Practice materials provided to Dentex (“Practice Materials”), solely in order to facilitate Delivery of the Competition Prize. The Practice warrants that it owns and has the right to grant the licence set out in this clause 5.3 and the Practice shall indemnify Dentex against any loss, damage or other liability suffered as a result of any claim or proceedings arising in connection with the Practice Materials, unless arising as a result of any fault, negligence or unauthorised act on the part of Dentex.

5.4 Unless otherwise agreed in writing, and with the exception of the Practice Materials, the Intellectual Property in all materials and deliverables created by Dentex for the Practice shall remain the property of Dentex. Dentex shall grant the Practice a non-exclusive, non-transferable, royalty-free licence to use the Intellectual Property in the materials and deliverables for the purposes of receiving the benefit of the Competition Prize.

6. Non-Solicitation

6.1 Fort the duration of the Delivery Period and for one (1) year thereafter, the Practice shall not (without the prior written consent of Dentex):

(a) solicit or entice away from Dentex, or employ or attempt to employ any person who is, or has been engaged as an employee or worker of Dentex and was involved to some extent in the Delivery; and / or

(b)solicit or engage any Subcontractor.

7. Limitation of liability

7.1 Insofar as is permitted by law, Dentex, its agents and Subcontractors will not in any circumstances be responsible or liable to compensate the Practice or accept any liability for any loss or damage occurring as a result of taking up the Competition Prize or in any way in connection with this Competition.

8. General

8.1 If there is any reason to believe that there has been a breach of these terms and conditions, Dentex may, in its reasonable discretion, reserve the right to exclude entrants from participating in the Competition.

8.2 The invalidity, illegality, or unenforceability of the whole or any part of these terms and conditions does not affect or impair continuation in force of the remainder of the terms and conditions.

8.3 These terms and condition shall be governed by English law, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
